\subsection*{Introduction}
The Massachusetts Institute of Technology (“MIT”) through its OpenCourseWare (“OCW”), publishes certain MIT course materials as a non-degree granting, free and open educational resource for faculty, students and self-learners around the world.

\subsection*{1 Services}

\subsection*{2 Compensation}
In full consideration for all services rendered by Student and for all rights granted or relinquished by Student under this Agreement, MIT shall pay Student the sum of \${x} per hour.

\subsection*{3 Ownership}
\subsubsection*{3.1}
Student hereby acknowledges that the services hereunder, and all results thereof, are works done under OCW’s direction and control and have been specially ordered or commissioned by OCW for use as a contribution to its publication of Course materials, and that all such services, tangible and intangible results shall be considered a work made for hire, and MIT shall own all right, title and interest therein. MIT shall be considered the author of the Course Notes, transcripts, or any other course materials generated by the student for purposes of copyright and shall own all the rights in and to the copyright, and only MIT hall have the right to copyright the same. To the extent that the Course Notes or any materials contained therein or prepared therefore or the copyrights therein do not vest in MIT by reason of same being a work made for hire, Student hereby grants, assigns and transfers to MIT all right, title and interest in and to the Course Notes, and all materials contained therein or prepared therefore and the tangible and intangible results thereof to the extent that Student has had or will have any right, title or interest therein. Student shall execute such further instruments as MIT may request to evidence, establish, maintain or protect its rights in and ownership of the Course Notes.

\subsubsection*{3.2}
MIT shall have the sole and exclusive worldwide, perpetual right to use and exploit all or any part of the Course Notes and all or any part of material contained therein or prepared by Student therefore, in any format or version, by any means and in any media, whether now known or hereafter developed. MIT grants back to Student the right to use the Course Notes or any other course materials generated by the student for Student’s own educational purposes.

\subsubsection*{3.3}
Student hereby waives any and all claims that Student may now or hereafter have in any jurisdiction to so-called “moral rights” with respect to the results of Student’s work and services hereunder.

\subsection*{4 Nature of Employment}
This Agreement shall not be assigned by Student, either in whole or in part, except with OCW’s written consent. Student is an independent contractor and shall be solely responsible for any unemployment or disability insurance payments, or any social security, income tax or other withholdings, deductions or payments, which may be required by federal, state or local law with respect to any sums paid Student hereunder. Student shall not be entitled to any MIT employee benefits any nature whatsoever. Student is not MIT’s agent or representative and has not authority to bind or commit MIT or OCW to any other agreements or other obligations.

\subsection*{5 Termination}
\subsubsection*{5.1}
Student may terminate this Agreement for any reason at any time.

\subsubsection*{5.2}
MIT may terminate this Agreement if Student fails to deliver the services specified in section 1 (except where such delay is caused by circumstances beyond Student’s control and Student has promptly notified OCW of such delaying circumstances) or if OCW determines, in its reasonable judgment, that the services are not satisfactory; provided that Student shall have ten (10) days to cure any deficiencies in the services identified by OCW.

\subsubsection*{5.3}
Notwithstanding termination of this Agreement under subsection 5.1 or 5.2, or for any other reason, MIT shall have the right, without further obligation to Student, to use the Course Notes, transcripts, or any other course materials generated by the student  in any manner it deems appropriate, including, without limitation, editing, altering and revising the materials, except that if OCW subsequently uses the materials in substantially the form submitted by Student, MIT shall pay Student the amount which would otherwise have been due Student on acceptance of the materials under section 2. Section 3, 4, 5, 6 and 7 shall survive any termination of this Agreement.

\subsection*{6 Representations \& Warranties}
Student represents and warrants to MIT that Student has full power and authority to make this Agreement; that in performing under this Agreement, Student will not violate the terms of any agreement with any third party.

\subsection*{7 Miscellaneous}
This Agreement sets forth the entire agreement between MIT and Student and supersedes any prior Agreements or understandings, oral or written. Student’s remedy, if any, for any breach of this Agreement shall be solely in damages and Student shall look solely to MIT for recovery of such damages. Student waives and relinquishes any right Student might otherwise have (a) to obtain injunctive or equitable relief for any reason, and (b) to proceed against any third party with respect to any dispute arising under this Agreement. This Agreement shall be governed by and construed under the laws of the Commonwealth of Massachusetts.
